Forway Service Group office handling US LLC formation for Bangladeshi clients

Why Bangladeshi sellers form a US LLC

A Limited Liability Company (LLC) is the simplest US business structure. For entrepreneurs in Bangladesh it is usually the first step to selling seriously in the US market. With an LLC and an EIN you can apply for US business bank accounts and payment processors, and operate your store under a US company name.

An LLC also separates your business from your personal assets, and a single-member LLC owned by a non-US person is generally not taxed at the federal level on income that isn’t connected with a US trade or business. Your tax position depends on your situation, so we always recommend confirming it with a qualified tax adviser.

Which state should you choose?

Most non-resident founders choose Wyoming, New Mexico or Delaware. Wyoming and New Mexico have low yearly costs and simple filings. Delaware is often chosen by founders who plan to raise investment. We explain the trade-offs on your strategy call and recommend the state that fits your plans.

Getting an EIN without an SSN

An EIN (Employer Identification Number) is your company’s US tax ID. You need it for banking, payment gateways and marketplaces. Non-residents without an SSN or ITIN can still get an EIN by filing IRS Form SS-4; it just can’t be done through the IRS online application. We prepare and file the form for you and follow up until the EIN is issued.

Staying compliant every year

Forming the company is the easy part. Each year the LLC must keep its registered agent, file the state’s annual report or pay its annual fee, and — for a foreign-owned single-member LLC — file IRS Form 5472 with a pro forma Form 1120. The IRS penalty for missing Form 5472 can be $25,000, so we put every deadline on your calendar and can handle the filings for you.

Frequently Asked Questions

1. Can I form a US LLC while living in Bangladesh?

Yes. US states allow non-residents to own LLCs, and the whole process can be done online. You don’t need to visit the US or have a US visa.

2. Do I need an SSN or ITIN to get an EIN?

No. Non-residents can get an EIN by filing IRS Form SS-4 without an SSN or ITIN. It takes longer than the online application available to US residents, and we handle the filing and follow-up for you.

3. Can I open a US bank account with my LLC?

Many non-resident LLC owners open US business accounts with online banks and fintech providers. Each provider has its own eligibility rules, which can change, so we check the current options for Bangladeshi founders when you are ready to apply.

4. What do I need to file every year?

Usually a state annual report or fee, registered agent renewal and, for a foreign-owned single-member LLC, IRS Form 5472 with a pro forma Form 1120. We send reminders and can file them for you.

5. Is Forway connected to Forway LLC in the USA?

Yes. Forway LLC is part of the Forway Group and supports US corporate setup and store management for international sellers.
